These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and ValorAthletics Pte. Ltd. ("ValorAthletics", "we", "us", or "our"), a company incorporated in Singapore with UEN 201938472A, registered at 1 Raffles Place #22-02, One Raffles Place, Singapore 048616.

By accessing our website at valorathletics.one, submitting an enquiry, or engaging our services, you agree to be bound by these Terms. If you do not agree, you must not use our website or services.

1. Services

ValorAthletics provides enterprise artificial intelligence solutions, advisory services, workshops, and related technology platforms as described on our website and in individual service agreements ("Service Agreements"). Service scope, deliverables, timelines, and fees are defined in the applicable Service Agreement or proposal accepted by both parties.

We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice to active clients, except where such changes would materially diminish agreed deliverables under an existing Service Agreement.

2. Eligibility and Account Registration

Our services are intended for business entities and professionals acting in a commercial capacity. By using our services, you represent that you are at least 18 years of age and have the authority to bind your organisation to these Terms.

Where account registration is required, you are responsible for maintaining the confidentiality of your credentials and for all activities conducted under your account. You must notify us immediately of any unauthorised access.

3. Fees and Payment

All fees quoted on our website and in proposals are denominated in Singapore Dollars (SGD) unless otherwise stated. Applicable goods and services tax (GST) will be added where required under Singapore law.

• Payment terms are net 30 days from invoice date unless otherwise specified in your Service Agreement
• Accepted payment methods include bank transfer, corporate credit card, and PayNow for Singapore-registered entities
• Late payments accrue interest at 1.5% per month or the maximum rate permitted by Singapore law, whichever is lower
• We reserve the right to suspend services for accounts more than 30 days overdue
• All fees are non-refundable except as expressly stated in your Service Agreement or required by applicable law
• Pricing for Valor Packages and Collection solutions is indicative; final pricing is confirmed in a signed proposal

4. Intellectual Property

All intellectual property rights in our website, platforms, software, methodologies, documentation, trademarks, and proprietary frameworks ("Valor IP") remain the exclusive property of ValorAthletics or our licensors.

Subject to payment of applicable fees, clients receive a non-exclusive, non-transferable licence to use deliverables specified in their Service Agreement for internal business purposes. Clients retain ownership of their pre-existing data and materials provided to us.

AI-generated outputs produced through our platforms are licensed to clients for internal use. Clients are responsible for reviewing AI outputs before reliance and ensuring compliance with applicable laws and internal policies.

5. Client Obligations

You agree to:

• Provide accurate and complete information necessary for service delivery
• Ensure you have lawful authority to provide any data submitted to our platforms
• Comply with all applicable laws including the PDPA when using our services
• Not use our services for unlawful, fraudulent, or harmful purposes
• Not attempt to reverse engineer, decompile, or extract source code from our platforms
• Not resell, sublicense, or redistribute our services without written consent
• Maintain appropriate human oversight over AI-generated outputs used in business decisions

6. AI Services and Limitations of Liability

ValorAthletics provides artificial intelligence solutions designed to assist enterprise decision-making. You acknowledge and agree to the following limitations specific to AI services:

6.1 Nature of AI Outputs

• AI-generated content, predictions, recommendations, and analyses are probabilistic and may contain errors, omissions, or biases
• AI outputs do not constitute professional, legal, financial, medical, or regulatory advice
• All AI outputs should be reviewed by qualified human professionals before being acted upon
• We do not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated output for any particular purpose

6.2 Limitation of Liability for AI

To the fullest extent permitted by Singapore law:

• ValorAthletics shall not be liable for any decisions, actions, or omissions made by you or your organisation based on AI-generated outputs
• We disclaim liability for consequential, indirect, incidental, special, or punitive damages arising from the use of AI services, including but not limited to lost profits, lost revenue, business interruption, or reputational harm
• Our total aggregate liability for any claims arising from or related to AI services shall not exceed the total fees paid by you to ValorAthletics in the twelve (12) months preceding the claim
• These limitations apply regardless of the theory of liability, whether in contract, tort (including negligence), strict liability, or otherwise
• Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under Singapore law

6.3 Model and Platform Availability

AI platforms depend on third-party infrastructure, large language models, and cloud services. We do not guarantee uninterrupted availability and shall not be liable for service interruptions caused by third-party providers, force majeure events, or scheduled maintenance.

7. Data Protection

Our collection and processing of personal data is governed by our Privacy Policy, which forms part of these Terms. By using our services, you consent to data processing as described therein.

Where we process personal data on your behalf as a data intermediary, a separate Data Processing Agreement will be executed as part of your Service Agreement.

8. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the services. This obligation survives termination for a period of three (3) years, except for information that becomes publicly available through no fault of the receiving party or is required to be disclosed by law.

9. Warranties and Disclaimers

We warrant that services will be performed with reasonable skill and care consistent with industry standards for enterprise AI solutions.

Except as expressly stated above, our website and services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, suitability for a particular purpose, and non-infringement.

10. Indemnification

You agree to indemnify and hold harmless ValorAthletics, its directors, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your breach of these Terms or applicable law
• Your misuse of our services or AI-generated outputs
• Data you provide that infringes third-party rights or violates applicable law
• Decisions made by your organisation based on AI outputs without appropriate human review

11. Term and Termination

These Terms remain in effect while you use our website or services. Service-specific terms and durations are defined in individual Service Agreements.

Either party may terminate a Service Agreement in accordance with its terms. We may suspend or terminate access immediately if you breach these Terms, fail to pay outstanding fees, or engage in conduct that threatens the security or integrity of our platforms.

Upon termination, your right to access services ceases. Provisions relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law survive termination.

12. Force Majeure

Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, pandemics, government actions, war, terrorism, cyberattacks, or failures of third-party infrastructure providers, provided the affected party gives prompt notice and uses reasonable efforts to mitigate the impact.

13. Dispute Resolution

Parties agree to attempt good-faith negotiation to resolve disputes within thirty (30) days of written notice. If unresolved, disputes shall be referred to mediation at the Singapore Mediation Centre before initiating litigation.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts of Singapore for the resolution of any disputes arising from or relating to these Terms or our services.

15. General Provisions

• Entire agreement: These Terms, together with applicable Service Agreements and our Privacy Policy, constitute the entire agreement between the parties
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision
• Assignment: You may not assign your rights without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets
• Notices: Formal notices shall be sent to [email protected] or the address on file in your Service Agreement
